本合同由買賣雙方根據下列條款和條件，經買賣雙方共同協商簽訂，以便共同遵守：

備注：如在運輸過程中造成軟件介質損壞或丟失，賣方負責在一周之內重新發貨或者提供完好的軟件介質。

2.原產國及制造商COUNTRYOFORIGINANDMANUFACTURERS:

3.以堅固紙箱裝，適合遠程航空／陸地運輸及氣候變化并妥善防潮防震，包裝內每套儀器或機械附有一

整套使用說明書。因包裝不良造成貨物殘損及因包裝防護設備不當，不周，招致貨物發生銹蝕，均由賣方

承擔責任。

damageofthecommodityandexpensincidenttheretoonaccountofimproperpackingandforany

packing.

4.裝運嘜頭SHIPPINGMARK:

賣方應在每件貨物的包裝外表上以不褪色的顏料刷明件號、毛重、凈重、尺碼及下列字句：“勿近潮濕”“小

心輕放”“此邊向上”，等及下列嘜頭：

AllbankingchargesinsideChinashallbebornebytheSellerwhilethooutsideChinabytheBuyer.

所有國內銀行費用由賣方承擔，國外銀行費用由買方承擔。

9.文件DOCUMENTS：

1)OneoriginalAirwayBillmarked“FreightPrepaid”indicatingcontractNo.,nameofcommodity,andthe

notifypartyisthebuyer.一份注明運費已付的航空正本運單,顯示合同號、貨物名稱，通知人為買方。

2)Manuallysignedinvoicein3original(s)indicatingContractnumbermadeoutindetailsaspertherelative

Contract.注明合同號和貨物明細的商業發票正本一式三份。

3)Packinglistin3original(s)withindicationofgrossandnetweights,measurementsandquantityofeachitem

packed,typeofouterpacking,packingquantityandpackingmaterial.注明毛、凈重、尺碼和所裝貨物每項

的品名數量，外包裝物類型，包裝數量，包裝材質的裝箱單正本一式三份。

4)Onet(includedin1originaland1copy)ofInsuranceCertificate.全套（一正一副）保險單。

5)CertificateofQualityissuedbytheSellerinoneoriginal.賣方簽署的質量證明書正本一份。

6)CertificateofOriginin1originaland2copies.商品原產地證明之正本一份副本兩份。

7)Non-WoodenPackingDeclarationin1originalforthenon-woodenpackingmaterialorSeller’sCertification

certifyingthatthepackage(s)has/havebeenlabeledwithIPPCmark.采用非木質包裝材料時提供非木質

包裝聲明一份，或采用木質包裝材料時提供書面聲明確認木質包裝上已有IPPC標識。

Thellershallndfulltofabove-mentioneddocumentstothebuyerinonelotbyAirCourierwithin2days

aftershipment.賣方應貨物發運后兩日內，將上述全套單證用快件寄給買方。

10.裝運通知SHIPPINGADVICE:

貨物全部裝運后,賣方應立即將合同編號、商品名稱、數量、毛重、發票金額、航班號和起航日期傳真通知

買方。

Immediatelythegoodsarecompletelyloaded,theSellersshallfaxtonotifytheBuyersofthecontract

number,nameofcommodity,quantity,grossweight,invoicedvalue,flightnumberandtheflightdate.

11.品質保證GUARANTEEOFQUALITY:

賣方應保證設備是用最好的材料制成的，采用最新的制造工藝，設備是全新未使用過的，并符合本合同及

附件規定的各個方面，如質量、技術要求和性能。保修期自貨物到達目的港，并經驗收合格起12個月內，

但最遲不超過貨物到達目的港之日起14個月。

TheSellersguaranteethatthecommodityhereofismadeofthebestmaterialswithfirstclass

workmanship,brandnewandunud,andcompliesinallrespectswiththequalityandspecification

stipulatedinthisContractandconformstothedatasheetsortechnicalmanualsofthecommodities

contract.

Theguaranteeperiodshallbe12monthscountingfromthedateonwhichthecommodityarrivesatthe

portofdestination,andcountingfromthedateonwhichtheAcceptanceCertificatehasbeensignedby

thereprentativesofbothpartiesiftheinstallationandinspectionforacceptanceofthecommodities

contractedarerequired,butnolaterthan14monthscountingfromthedateonwhichthecommodity

arrivesattheportofdestination.

12.索賠CLAIMS:

在貨物達到目的港后90天內，如發現貨物規格或數量與合同規定不相符（保險公司或運輸公司造成的除

外），買方可依據中國商檢局的檢驗證明提出索賠：更換新貨品，差額補償，或維修，所有費用（如檢驗

費、修理費、貨物返航或貨物替換費用、或修理費、保險、保存、裝載/卸載費等）由賣方承擔。關于質量

問題，賣方應保證如在本合同第十二條規定的保質期內，發生由于質量不好、工藝差或材料不好引起的損

壞，買方應立即書面通知賣方并依據中國出入境檢驗檢疫局的檢驗報告提出索賠。

檢驗報告作為索賠證據。賣方應根據買方的索賠負責解決貨物的缺損、完全或部分替換，或根據缺損情況

將商品降價。如果必要，買方有權要求賣方承擔費用自行解決問題。如果賣方在接到買方的上述索賠要求

后一個月內沒有答復，將視為賣方接受此索賠要求。

newgoods,orforcompensationorrepairandalltheexpens(suchasinspectioncharges,repairing

fee,freightforreturningthegoodsandforndingthereplacement,ortherepairedgoods,insurance

premium,storageandloadingandunloadingchargetc.)rds

quality,theSellersshallguaranteethatif,withintheguaranteeperiodstipulatedinClau11ofthis

Contract,damagesoccurinthecourofoperationbyreasonofinferiorquality,badworkmanshiporthe

uofinferiormaterials,theBuyersshallimmediatelynotifytheSellersinwritingandputforwardaclaim

supportedbyInspectionCertificateissuedbyEntry&ExitInspectionandQuarantineBureauofChina.

Wherenecessary,theBuyersshallbeatlibertytoeliminatethedefect(s)themlvesattheSellers’

ellersfailtoanswertheBuyerswithinonemonthafterreceiptoftheaforesaidclaim,the

claimshallbereckonedashavingbeenacceptedbytheSellers.

13.不可抗力FORCEMAJEURE：

在制造、裝卸或運輸過程中由于不可抗力因素導致延遲交貨，賣方不承擔責任。但賣方必須在事發后14

天內將上述事故的記載及買方可接受的當地政府主管部門出示的有關偶然事故的證明通過航空快件發給

買方，在這樣的處境下，賣方仍需盡力采取必要的措施保證盡快的供貨，如果事故持續超過10周，買方

將有權撤消未發貨的訂單，或延遲交貨時間。

TheSellersshallnotbeheldresponsibleforthedelayinshipmentornon-deliveryofthegoodsdueto

ForceMajeure,suchaswar,riousfire,flood,typhoonandearthquake,orothereventsagreedupon

betweenbothparties,whichmightoccurduringtheprocessofmanufacturingorinthecourofloading

lersshalladvitheBuyersimmediatelyoftheoccurrencementionedaboveand

withinfourteendaysthereafter,theSellersshallndbyairmailtotheBuyersfortheiracceptancea

certificateoftheaccidentissuedbytheCompetentGovernmentAuthoritieswheretheaccidentoccurs

avidencethereof.

UndersuchcircumstancestheSellers,however,arestillundertheobligationtotakeallnecessary

theaccidentlastsformorethan10weeks,the

Buyersatitsoptionmaydeletetheundeliveredgoodsfromitspurchaorderorappropriatelyextend

thetimeofdelivery.

TheBuyersshallnotbeheldresponsibleforfailureordelaytoperformalloranypartofthisContractdue

toForceMajeure.

14.延遲交貨和罰款LATEDELIVERYANDPENALTY：

除本合同第十四條中不可抗力因素引起外，如果賣方未能按合同規定如期交貨，若賣方同意賠款并從付款

銀行扣除罰款，買方應同意延遲交貨。罰款不能超過延遲交貨商品總價的5%。罰款率為每7天0.5%，未

超過7天時按7天計。賣方若延遲交貨超過合同規定日期10周，買方有權解除合同，或要求限期交貨并

向買方支付罰款。

ShouldtheSellersfailtomakedeliveryontimeasstipulatedintheContract,withexceptionofForce

MajeurecausspecifiedinClau14ofthisContract,theBuyersshallagreetopostponethedelivery

onconditionthattheSellersagreetopayapenaltywhichshallbedeductedbythepayingbankfromthe

alty,however,shallnotexceed5%ofthetotalvalueofthegoodsinvolvedinthelate

eofpenaltyischargedat0.5%foreveryvendays,odddayslessthanvendays

theSellersfailtomakedeliverytenweekslaterthanthetime

ofshipmentstipulatedintheContract,theBuyersshallhavetherighttocancelthecontractandthe

Sellers,inspiteofthecancellation,shallstillpaytheaforesaidpenaltytotheBuyerswithoutdelay.

15.仲裁ARBITRATION：

與本合同有關的或由執行本合同引起的矛盾應通過友好協商解決。如無法達成協議，應提交仲裁。仲裁在

中國北京進行，并由中國國際貿易促進委員會所屬的對外經濟貿易仲裁委員會按照仲裁機構暫行的規定進

行仲裁。仲裁結果應作為雙方的最終約束。任何一方不得向法庭或其他協會申請修改仲裁結果，仲裁費用

由敗訴方承擔。仲裁期間，雙方應繼續執行本合同中除仲裁條款外的其他條款。

AlldisputesinconnectionwiththisContractortheexecutionthereofshallbettledfriendlythrough

nottlementcanbereached,thecamaythenbesubmittedforarbitrationto

ChinaInternationalEconomicandTradeArbitrationCommissioninaccordancewithitsRulesof

itrationshalltakeplaceinBeijing

andthedecisionoftheArbitrationCommissionshallbefinalandbindinguponbothparties;neitherparty

shallekrecoursation

ourofArbitration,bothpartiesshallcontinuetoexecute

theprentContractexceptthounderarbitration.

16.特殊條款SPECIALPROVISIONS:

Inwitnessthereof,thisContractismadeEnglishandChine,bothofwhichshallhaveequalstatusinlaw,signed

bybothpartiesintwooriginalcopies;byfaxiffective.

本合同為中英文制，一式兩份，買賣雙方各執一份。傳真簽署有效。

17.附件為此合同不可分割的一部分。
