維修合同(中)

1.定義

“ABC”是指ABC(中國)電子有限公司；“客戶”指合同中提到的客戶；“產(chǎn)品”指ABC和客

戶同意依據(jù)此維修合同進(jìn)行維修的設(shè)備及軟件。這些維修合同進(jìn)行維修的設(shè)備及軟件。這

些“產(chǎn)品”列在合同的首頁。

2.接收

合同的首頁及以下十一頁所闡述的條款及條件是客戶購買維修的提議，經(jīng)ABC維修部門

書面承認(rèn)后，它將成為一個合同。ABC將客戶所付款項入帳、兌現(xiàn)或作任何其它用途，都

不構(gòu)成它對此提議的接收。雙方一致同意ABC只在本合同所規(guī)定的條款及條件下提供維修。

不經(jīng)明確書面同意，ABC將不受用戶購買定單或其它地方的條款和條件限制。一旦ABC的

維修部門接收這個合同，合同中的ABC利益歸ABC公司所有。

3.規(guī)定的維修

ABC同意對合同首頁所列的產(chǎn)品為客戶提供維修。ABC將按照此合同首頁及以下十一頁

所規(guī)定的條款和條件對這些產(chǎn)品提供維修。維修的起止年限以合同所述日期為準(zhǔn)。ABC還

將按照合同所闡述的同等條款及條件，以當(dāng)時維修費(fèi)標(biāo)準(zhǔn)為客戶在履行合同期間所購買的

ABC公司以及其子公司生產(chǎn)的其它產(chǎn)品提供維修。一旦這些其它產(chǎn)品交付給客戶，ABC將

在其保修期截止前，將這些產(chǎn)品的維修費(fèi)加入定期帳單。對于任何產(chǎn)品在維修期間有丟失、

損壞、被盜或遷移事件發(fā)生，客戶應(yīng)立即向ABC書面報告此類丟失、損壞、被盜或遷移事

件。針對此類事件，ABC將于收到書面報告的當(dāng)月月底終止客戶對此類產(chǎn)品相關(guān)的維修費(fèi)

支付義務(wù)。

ABC將根據(jù)客戶要求拆除車載產(chǎn)品并將其安裝在其它車輛上，此項服務(wù)按客戶提出要求

時的服務(wù)費(fèi)標(biāo)準(zhǔn)收費(fèi)。

如果合同首頁沒有說明，本合同將不包括饋線、天線、發(fā)射塔或發(fā)射塔照明裝置等維修。

維修包括維修正常磨損及使用損壞的產(chǎn)品所需要的勞務(wù)以及配件，但不包括消耗品及它們的

安裝。維修不包括維修或更換由于其它原因造成損壞的產(chǎn)品。這些原因包括（但不僅限于）

意外事故、物理或電子濫用、錯誤操作、不可預(yù)知因素、火災(zāi)或其它災(zāi)難。為沒有提到的維

修提供維修將按高于合同標(biāo)準(zhǔn)的ABC維修收費(fèi)標(biāo)準(zhǔn)收取費(fèi)用。合同中的產(chǎn)品必須在產(chǎn)品說

明書所述環(huán)境條件下進(jìn)行維修。環(huán)境條件與產(chǎn)品說明書不符造成的損壞不在本合同維修范圍

之列。

對于將電話線和其它產(chǎn)品與ABC維修的產(chǎn)品聯(lián)接使用的情況，ABC對此類電話線和產(chǎn)

品將不負(fù)任何責(zé)任，也不承擔(dān)任何義務(wù)，但將根據(jù)要求協(xié)助電話公司進(jìn)行維修，并按高于合

同標(biāo)準(zhǔn)收取適當(dāng)費(fèi)用。

客戶應(yīng)在本合同的首頁標(biāo)明處于固有安全狀態(tài)的所有產(chǎn)品，以便使用合適的備件及操作

步驟維護(hù)此種狀態(tài)。

維修開始十二個月期滿后（或此后的任何時候），如果ABC認(rèn)為由于（但不僅限于）產(chǎn)

品過度使用、性能劣化或無配件等原因而不能進(jìn)行適當(dāng)?shù)幕蚪?jīng)濟(jì)的維修，ABC將單方面作

出如下兩種選擇：(1)將此產(chǎn)品從合同中去掉；或(2)提高此產(chǎn)品的維修費(fèi)。在作選擇之前，

ABC將提前30天以帶回執(zhí)的信函書面通知客戶。客戶收到維修費(fèi)增加的通知后，可以在

30天內(nèi)對此提出反對意見。如果客戶有正當(dāng)理由反對維修費(fèi)增加，那么ABC將選擇第(1)

條，即將此產(chǎn)品從合同中去掉。客戶支付此類產(chǎn)品維修費(fèi)的義務(wù)將于產(chǎn)品從合同中被去掉的

當(dāng)月月底終止。

4.維修標(biāo)準(zhǔn)

ABC將按如下標(biāo)準(zhǔn)對產(chǎn)品進(jìn)行維修：(1)使用ABC配件或同等質(zhì)量配件；(2)按ABC產(chǎn)

品手冊所述標(biāo)準(zhǔn)對產(chǎn)品進(jìn)行維修；(3)遵循ABC對其產(chǎn)品提出的常規(guī)維修程序。

5.維修時間與地點(diǎn)

維修將在合同首頁規(guī)定的地點(diǎn)進(jìn)行。如維修在產(chǎn)品所在地進(jìn)行，客戶應(yīng)在該地提供遮擋、

暖氣、照明及電力。產(chǎn)品出故障時，客戶應(yīng)立即通知ABC，并允許ABC自由、全面地接觸

產(chǎn)品。在ABC對產(chǎn)品維修期間，客戶應(yīng)與ABC全面合作。客戶不能將ABC放棄對客戶的

責(zé)任追究權(quán)或其它限制條件強(qiáng)加給ABC而作為允許其進(jìn)入現(xiàn)場之條件。客戶應(yīng)該允許ABC

自由、徹底地接觸產(chǎn)品、了解產(chǎn)品狀況。客戶應(yīng)允許ABC免費(fèi)使用必要的機(jī)器、通訊設(shè)施、

設(shè)備、特征及其它產(chǎn)品(ABC正常提供的除外)。車載臺及可以卸下的產(chǎn)品應(yīng)由客戶運(yùn)送到本

合同首頁所指定的ABC維修中心。

除非合同首頁特別指明，本合同下的維修服務(wù)時間為ABC維修中心的正常工作時間，不

包括節(jié)假日。

6.支付/稅金

每筆款項應(yīng)在合同首頁所述日期的當(dāng)天或前幾天支付。如果客戶不履行合同，沒有支付

ABC有關(guān)費(fèi)用，ABC將通過帶回執(zhí)的信函通知客戶終止合同。除了所得稅及ABC可以通

過合法手續(xù)得到補(bǔ)償?shù)亩愐酝猓蛻魬?yīng)補(bǔ)償ABC與產(chǎn)品維修有關(guān)的所有財產(chǎn)稅、銷售和使

用稅、其它的稅種及現(xiàn)在和將來國家和當(dāng)?shù)胤珊鸵?guī)章制度征收的稅或有關(guān)資產(chǎn)費(fèi)用。

7.分包合同權(quán)

ABC有權(quán)對合同要求的全部或部分維修訂立分包合同。ABC應(yīng)通知客戶每個分包人的名

字和地址。

8.費(fèi)用的修訂

在合同首頁所述的終止日期周年之前，ABC可以修改合同首頁所述的維修費(fèi)，并于終止

日期周年之前60天書面通知客戶維修費(fèi)增加的數(shù)量。客戶接到通知后，可以在終止日期或

終止日期的周年日終止合同，并提前30天通過帶回執(zhí)的信函按合同所述地址書面通知ABC，

否則新的維修費(fèi)在該周年日起生效。在此類終止事件中，所有累積的和未付的費(fèi)用應(yīng)于終止

日期前立即支付。

9.自行延長一年

在合同首頁所述的終止日期后，合同將在下一年繼續(xù)生效，但ABC或客戶只需提前30

天通過帶回執(zhí)的信函按合同所述地址書面通知對方即可在終止日期或任何一個終止日期的

周年日終止合同。

10.維修的中斷

如果產(chǎn)品發(fā)生故障，客戶應(yīng)通知維修代理。如果維修代理沒能在合理的時間內(nèi)修好產(chǎn)品，

客戶應(yīng)通知ABC指定的ABC機(jī)構(gòu)。客戶通知維修代理和ABC指定的ABC機(jī)構(gòu)以后，ABC

將對影響維修中產(chǎn)品的使用或傳送工作的、由于ABC或其分包人的錯誤所造成的中斷或干

擾負(fù)一定責(zé)任。此責(zé)任最大限度是以月服務(wù)費(fèi)為基礎(chǔ)，根據(jù)維修中斷或干擾的時間向客戶提

供適當(dāng)比例的補(bǔ)償。對合同中由于直接或間接的非ABC所能控制的因素造成的維修失敗或

耽擱，ABC將不承擔(dān)責(zé)任和義務(wù)，這些因素包括(但不僅限于)不可預(yù)知因素，公共敵人因素，

中國、美國、美國任何州或地區(qū)或其政治分支的因素、哥倫比亞地區(qū)因素，客戶及其代理商、

雇員或分包人所造成的因素，還有火災(zāi)、水災(zāi)、意外事故、流行病、隔離檢疫期限制、罷工、

運(yùn)輸封港因素，以及不尋常的惡劣氣候因素等等，另外還包括由于這些因素導(dǎo)致ABC分包

人所造成的失誤。

11.擔(dān)保限制

除非合同特別列明者外，ABC不承擔(dān)其它任何保證，無論是明確的或隱含的，包括(但不

限于)適銷性和適用性方面的隱含保證。在法律許可范圍內(nèi)，ABC將不對意外或間接損壞承

擔(dān)任何責(zé)任。

12.國家無線管理委員會或郵電部以及其它與政府有關(guān)的事宜

盡管ABC會協(xié)助客戶作向國家無線管理委員會或郵電部申請許可的準(zhǔn)備工作，但向國家

無線管理委員會、郵電部及任何其它國家或地方政府部門申請所需許可或授權(quán)書的責(zé)任，全

部由客戶一方承擔(dān)。客戶也應(yīng)自己負(fù)責(zé)遵循國家無線管理委員會或郵電部有關(guān)規(guī)章制度，以

及其它國家及地方政府部門的有關(guān)規(guī)章制度。ABC及其任何一個雇員都不是客戶在國家無

線管理委員會、郵電部、或其它政府方面事宜上的代表。但是，ABC可以免費(fèi)協(xié)助客戶申

請國家無線管理委員會或郵電部的許可證。

13.全面合同

客戶承認(rèn)已經(jīng)閱讀并且理解了合同的條款和條件，同意受這些條款和條件的約束，承認(rèn)

這是雙方共同認(rèn)可的完整的結(jié)論性的聲明，承認(rèn)本合同已經(jīng)闡明了雙方在論述主題上所達(dá)成

的一切一致意見和理解，并承認(rèn)ABC和客戶雙方迄今為止就上述主題所達(dá)成的理解與共識，

不管是口頭的還是書面的，都已被歸入本合同，合同本身全面完整地表達(dá)了雙方所達(dá)成的協(xié)

議。

14.修改

本合同的修改和增補(bǔ)除非成書面形式，并由ABC有權(quán)認(rèn)可這類修改的區(qū)域維修副總裁及

客戶授權(quán)人的簽名，否則對ABC是無效的。

15.有效

如果本合同的任何一項條款或條件在任何程度上被法院或其它法庭判為無效、作廢或不

可實(shí)施，那么該條款或條件與法律相沖突之處將不予實(shí)施并且作廢，但本合同其余條款或條

件將繼續(xù)實(shí)施，雙方的權(quán)利及義務(wù)也將照合同根本沒有包括那些特殊的、被判無效、作廢或

不可實(shí)施的條款或條件那樣理解及實(shí)施。

16.標(biāo)題

本合同所用的章節(jié)段落的標(biāo)題只是為了方便，并不被視為本合同的一部分。

17.法律

本合同和雙方的權(quán)利及責(zé)任將按照-----共和國法律管轄和解釋。

18.轉(zhuǎn)讓

如果事先沒有取得ABC書面同意，客戶全部或部分轉(zhuǎn)讓或移交本合同，將不對ABC有

約束力。

19.棄權(quán)

ABC方面或客戶方面沒能或延誤履行本合同下的權(quán)利、權(quán)力或特權(quán)將不被視為放棄本合

同下的權(quán)利、權(quán)力、或特權(quán)。

20.起訴時間

除有欠付款項外，對違反本合同條款的事件的起訴必須在事發(fā)兩年內(nèi)才有效。如有關(guān)法

律規(guī)定的時效更短時以更短者為準(zhǔn)。

21.文字

本合同由中、英兩種文字簽署，兩種文字具同等法律效力。本合同由中、英兩種文字簽

署，如有沖突以英文為準(zhǔn)。
