This contract is made by and between the Buyer and the Seller, whereby the Buyer agrees to buy and

the Seller agrees to ll the under mentioned goods on the terms and conditions stated below:

此買賣合同由買賣雙方同意簽定，即買方同意購買，賣方同意出售下列之貨品，雙方同意並遵守以下條

Price: CNY16,100.00 (CHINA YUAN SIXTEEN THOUSAND ONE HUNDRED

ONLY) PER MT CFR Tianjin Port of China. Total Amount MT for shipment

2485MT CNY40,008,500.00 (CHINA YUAN FOUTY MILLION EIGHT

THOUSAND FIVE HUNDRED ONLY.) (+/-5%).

價格每噸人民幣CNY16,100.00 CFR。2485噸合計: 40,008,500.00元人民幣（+/-5%）。

4 PAYMENT TERMS付款條款

4.1 Within 5(five) working days after the ller receives the signed final contract, Buyer or his

agent shall open with a prime bank an irrevocable, non-transferable Usance at

Letter of Credit

180 days in favor of Seller, for an amount sufficient to cover 2485MT shipment value. The two

parties agree to ttle the payment by RMB.

在賣方收到有效合同後5個工作天之內，買方或其代理應透過一家主要銀行，開出以賣方為受益

人、相當於2485噸貨物價值的不可撒銷、不可轉讓180天遠期信用證給賣方。雙方最終以人民幣

做結算。

4.2 Payment: Buyer shall open within 5(five) working days from the date of Signing of the

Contract with a 1st Class bank in China through an irrevocable and workable Usance

Letter

of Credit

in favor of Sellers, to the Seller?s nominated Bank indicating beneficiary as Seller for

an amount in CHINA YUAN sufficient to cover 100% (hundred percent) of the CFR shipment

value to be made for final payment. All banking charges outside the L/C opening bank after

establishment of the L/C shall be paid by the ller.

簽訂合同后5個工作日內，買方通過中國一級銀行向賣方指定的銀行開出不可撤銷、可執行的

遠期信用證，通知賣方受益人，金額是根據CFR 發貨的100%貨值，以人民幣表示，作為最終

付款。開證后，L/C以外的所有銀行費用由賣方支付。

5 SHIPMENT 裝運

5.1 Partial shipment is allowed

允許分船裝運。

5.2 Transshipment is allowed.

允許轉船。

6 Documents Required for Payment信用證付款需要單據

6.1 Signed commercial invoice in 1 originals indicating L/C No., contract No.

簽字的商業發票1份正本注明信用證號，合同號。

6.2 Full t 3/3 originals and 3 non-negotiable copies of clean on board ocean B/L made out to

order and blank endord marked ?freight prepaid? OR Certificate of cargo receipt in 1 original

issued by applicant indicating the issuing date.

全套海運清潔裝運提單，空白抬頭和背書注明運費預付或者申請人出具的收貨證明一份正本注

明出具日期。

6.3 Packing list in 3 originals issued by beneficiary.

受益人出具的箱單3份正本。

7 INSURANCE 保險

Insurance to be covered by Buyer from the time iron ore is loaded on board the vesl. 貨物

上船後的保險由買方承擔。

8 DISPUTES AND CLAIM 爭議和索賠

If there exits disputes of quality and weight on the cargo shipped, the Buyer has the right to

claim for compensation from the Seller bad on CIQ certificates. The claim is to be ttled

between parties within 10 days after its submission.

如果對貨物存在品質和重量上的爭議，買方有權向賣方索賠損失，買方應提供CIQ證書。索

賠在提出之日10天內由雙方解決。

For any delay or Non-delivery of the shipment by the Seller, with exception of Force

Majeure, the Buyer has the right to claim for compensation from the Seller. The claim is to

be ttled between parties within 10 days after its submission.

賣方延誤裝船或交貨不能，除不可抗力因素外，買方有權向賣方索賠損失，索賠在提出之日

10天內由雙方解決。

9 FORCE MAJEURE 不可抗力條款

Either the Seller or the Buyer shall be relieved of and excud from its obligation to perform

hereunder during any period that their or its performance is prevented of delayed by Act of

God, War, blockade, revolution, riot, insurrection. Civil commotion, strike, lockout, fire,

flood, storm, tempest or other inclement weather conditions, unforeen blockade of the

access channel at Loading Port, maintenance practice of the port facilities by the duly

constituted Port Authority, government restriction, regulation or order. In the event that such

a Force Majeure condition occurs or is anticipated, the party directly affected shall advi

the other party by facsimile or telex as soon as possible, and shall then submit a certificate

issued by Government Authority or Chamber of Commerce of Malaysia as evidence of the

Force Majeure condition within 10 days, if possible, after such Force Majeure condition. If

the Force Majeure lasts over three months, the Buyer shall have the right to cancel the

tonnage involved. The Seller?s inability to obtain licen shall not be considered as Force

Majeure.

買賣雙方將於以下情形豁免不能履行合約的責任﹕

由天意(大自然) 所造成的因素、戰爭、政治封鎖、革命、暴動、起義、民變、罷工、火災、

水災、風暴或其它惡劣氣候所造成在裝運不可預料的阻礙因素。若此等不可抗力的情形是可預

料的，直接受影響的一方因儘早通過傳真或電報知會另一方，以及在10天前(在可能的狀況下)

由馬來西亞官方或商會發出證書佐證。若此等不可抗力的情形延續超過三個月，買方有權取消

訂單。賣方不能取得相關批文將不能視為不可抗力因素。

10 ARBITRATION仲裁

All disputes or differences whatsoever arising between the parties out of or relating to the

construction, meaning and operation or effect of this contract or the breach thereof shall be

ttled by friendly negotiations between the two parties.

If no ttlement can be reached, the ca in dispute shall be submitted for arbitration to the

Hong Kong arbitration commission, who result shall be taken as final and binding both

parties.

若果雙方在以下方面出現爭議與分歧，如有關合同的結構，意思，執行和影響或違約，那麼雙

方需要通過友好協商解決。若雙方不能協商達成一致，此爭議案件將提交香港仲裁委員會仲裁，

仲裁結果為最終結果且對雙方都有約束力。

The terms of this Contract and the cargo details and results are confidential except as

agreed between the parties which connt shall not be unreasonably withheld.

12 THER TERMS AND CONDITIONS其它條文

This contract made out in four originals, two to be held by each party and shall have the equal

force. This contract is ud in English and Chine, two languages are both available, but if

have any conflicts, English version shall prevail. The Fax or e-mail of the contracts is

available before the both parties receive the origin version of the contract.

本合同正本一式肆份，雙方各執貳份, 具有同等效力。本合同由中英文簽署，兩種語言同時有

效，如遇衝突，以英文為準。收到正本合同之前，傳真件或電子郵件有效。

The terms and conditions of this Contract are not intended to form any precedent for any

other Contract.

此合同的條文不準備用來作為制定其它合同之用。

Both the Buyer and the Seller shall execute and sign this Contract. 本合同須由買賣雙方各自

代表正式簽署。

The language of the contract and the correspondence, notices, invoices, certificates shall be

English.

合同內容，通信，通告，發票及證書均以英文為準。

Uniform Customs and Practice for Documentary Credits (2007 version), Publication No.600 shall

apply to this contract as well as INCOTERMS-2000 as published by the International Chamber of

Commerce.

國際商會第600號手冊《跟單信用證統一慣例》2007年修訂本及《國際貿易術語通則》-2000版將

適用本合同。

IN WITNESS WHEREOF, both parties hereto have executed this Contract as of the day and year

first above written. This Contract will take effect immediately upon both parties? signature.
