2023年4月19日發(作者：員工福利計劃)授權書——是由當事人預備，及賦與一位他信任的人之一項權力——當他在
精神或健康上出現問題，以致不能打理他個人財務時，替他作出財務上之決定，
如買賣物業、銀行存支、交稅及交其他單據。授權書是可以即時生效，又或者
可以指明有事故發生後才生效，直至當事人去世之時為止。假如沒有事故發生的
話，當事人仍然可以自己掌管自己的財務。有法人授權書、委托授權書等等

（注：在授權書后應附有經公證機關蓋章并由公證員簽字的公證書，

在法律英語中，Power of Attorney和Proxy 均可用作表達授權的委
托書，區別在于Power of Attorney所指的被委托人應為律師，即具有律
師身份，而Proxy則無此種規定，即被委托人一般不需具有律師身份。

1 Appointment 委任

A shall be obligated to timely respond to B’s letter, fax, notice,

4. Intellectual Property 知識產權
Except as expressly authorized by the Manufacturer, the
Distributor shall have no rights in respect of any trade names or
trade marks ud by the Manufacturer in relation to the Products of
the goodwill associated therewith, and the Distributor hereby
acknowledges that, except as expressly provided in this Agreement,
it shall not acquire any rights in respect thereof and that all such
rights and goodwill are, and shall remain, vested in the Manufacturer.

5 Reprentation and Warranty 聲明和保證
Each Party hereby reprents and warrants that neither the
execution and delivery of this Agreement, nor the consummation of
the transaction contemplated hereunder, nor compliance with any of

in a breach of, constitute a default (or an event that, with notice
or lap of time, or both, would constitute a default) under, or

contract or other agreement or to which such Party is bound.
6. Term and Termination 期限與終止

Either Party shall have the right to terminate this Agreement
as of right and without judicial recour, upon giving notice to the

Neither Party shall have the right to assign the benefit of this
Agreement (or any part of it), without the prior written approval

This Distribution Agreement shall be construed in all respects
in accordance with the law of HongKong and the A hereto agrees to

9. Miscellaneous雜項條款
The Appendices are the integral part of this Agreement. The
