APPENDIX-C

SCHENGULE OF QUANTITIES, PRICING AND PAYMNET CONDRRIONS

1.0 WORK TO BE PERFORMED

Except as specified elwhere in the Contract, except for the Employer supplied

material and equipment as detailed in the Scope of Work, Contractor shall supply

all the materials, labor, technical support, supervision, tools, equipment and plant,

transportation, consumable and perform all the works required for completion of

decoration work of Continent supermarket Fuangzhuang Fengtai district, Beijing

for employer. The construction area of the work is M more or less.

2.0 LUMP SUM PRICE

The Total Lump Sum Price for performing all work is temporarily

RMB 3,000,000.00Yuan, Say: RMB three million YUAN only (It is depend on

the actual work performed by the contractor under the mutual agreement)

Price Notes

The lump Sum Price includes, but not limited to, the cost of works, taxes

and charges, overhead and profit and all the expens which could be

required by Contractor for the completion of the Works under the Contract.

Unless there will be change in the Scope of Wok shown by the current

drawings, no variation daim will be entertained.

3.0 UNIT PRICES FOR CHANGES

Unit prices for changes shall be full and complete compensation for additional

work or credit for deleted work. Prices include but not limited to, labor, material,

rvices, overhead and profit. The Unit Prices shown in the bid package

submitted earlier will be ud as a reference basis in evaluating future variations.

Tho items of variation which do not have reference basis shall be priced in

accordance with quota.

4.0 ADJUSTMENTS

All prices are fixed for the duration of the Contract and are not subject to

escalation for any cau. Payment of the Total Contract Price shall constitute full

payment for performance of the Work and covers all costs of whatever nature

incurred by Contractor in accomplishing the Work in accordance with the

provisions of the Contract.

5.0 REOUIRED SUBMITTALS

The following submittals are a prerequisite to the initial payment after the award

of contract;

6.0 TERMS AND CONDITIONS OF PAYMENT

6.1 The total sum value is temporarily RMB3,000,000.00.(Say: three million

RMB yuan only), Contract singed after and satisfying the conditions of

down payment; Pay 30% of contract sum (RMB9000,000.00Yuan, Say:

nine hundred thousand RMB Yuan for preparation fee);

6.2 40% finished :Pay 30% of contract sum (RMB600,000.00 Yuan, Say: nine

hundred thousand RMB Yuan);

6.3 80% finished: Pay 20% of contract sum ( RMB6000,000.00 Yuan, Say: six

hundred thousand RMBYuan);

6.4 after final checking by employer, government,. The actual construction cost

will be checked and confirmed by party A, party B, and supervisory

company. The rest 15% to be paid after final checking. The principle as

following;

6.4.1 According to Beijing 96 Budget Price Book.

6.4.2 Becau it is night work, so the civil engineering labor fee is

RMB40.00/day, the installation labor fee is RMB30.00/day. And the night

work cut down efficiency fee can not be charged.

6.5 Maintenance fee 5%of contract sum will be paid after one year of

maintenance. For the progress payment, the Contractor shall submit to

Employer his written request supported by a statement of accomplishment

for review, then the Site Manager assigned by the Employer shall review

the payment request. The Site Manager shall endor payment request after

review to Employer for relea of payment. The whole process from the

submission of the written request to the relea of payment shall be within

two weeks.

APPENDIXD-1 WORK SCOPE

This appendix D-1(hereinafter referred to as work scope)is made on the day of 1

June 2000

1. General rules

Fangzhuang store modification and reconstruction should be performed strictly in

accordance with demand of owner, the drawing, technical specification, some

concerned rules and the provisions stipulated in the contract, the work performed

should meet the following national standard《Architectural Installment Quality

Checking Evaluation Unified Standard》(GBJ300-80)

Except the equipment supplied by the Employer and the equipment installed and

tested by the special contractor assigned by the Employer, all the work scope

implement must be carried on according to concerned rules of testing, adjustment

and operation.
