(1) 由賣方按發票金額的110%保一切險及戰爭險。買方如要求增加保額或保險范

圍，須承擔因此增加的保險費。To be covered by the Seller for 110% of the invoice

value against All Risks and War Risks. If additional insurance amount or coverage is

required, the additional premium is to be borne by the Buyer.

(2) 由買方自理 To be effected by the Buyer.

9. 付款條件：Terms of Payment：（注：以下四項可任選一項）

(1)信用證方式：Letter of Credit:

買方應在裝運期前/合同生效后______日，開出以賣方為受益人的不可撤銷的議

付信用證，信用證在裝船完畢后______日內到期。The Buyer shall, ______ days

prior to the time of shipment /after this Contract comes into effect, issue an

irrevocable Letter of Credit in favor of the Seller. The Letter of Credit shall expire

______ days after the completion of loading of the shipment as stipulated.

(2) 付款交單：Documents against Payment:

貨物發運后，賣方出具以買方為付款人的付款跟單匯票，按即期付款交單（D/P）

方式，通過賣方銀行及______銀行向買方轉交單證，換取貨物。After shipment, the

Seller shall draw a sight bill of exchange on the Buyer and deliver the documents

through the Sellers’ bank and ______ Bank to the Buyer against payment, i.e. D/P.

The Buyer shall effect the payment immediately upon the first prentation of the

bill(s) of exchange.

(3) 承兌交單：Documents against Acceptance:

貨物發運后，賣方出具以買方為付款人的付款跟單匯票，付款期限為______后

______日，按即期承兌交單(D/A______日)方式，通過賣方銀行及______銀行，

經買方承兌后，向買方轉交單證，買方在匯票期限到期時支付貨款。After shipment,

the Seller shall draw a sight bill of exchange, payable_____ days after the Buyers

delivers the document through Seller’s bank and ______ Bank to the Buyer against

acceptance (D/A ______ days). The Buyer shall make the payment on date of the bill

of exchange.

(4) 貨到付款：Cash on Delivery (COD):

買方在收到貨物后______天內將全部貨款支付賣方（不適用于FOB、CFR、CIF

術語）。The Buyer shall pay to the Seller total amount within ______ days after the

receipt of the goods (This clau is not applied to the Terms of FOB, CFR, and CIF).

10. 單據：Documents Required：

賣方應將下列單據提交銀行議付/托收：The Seller shall prent the following

documents required to the bank for negotiation/collection:

(1) 標明通知收貨人/受貨代理人的全套清潔的、已裝船的、空白抬頭、空白背

書并注明運費已付/到付的海運/聯運/陸運提單；Full t of clean on board

Ocean/Combined Transportation/Land Bills of Lading and blank endord marked

freight prepaid/ to collect;

(2) 標有合同編號、信用證號（信用證支付條件下）及裝運嘜頭的商業發票一式

______份； Signed commercial invoice in ______copies indicating Contract No. / No.

L/C (Terms of L/C) and shipping marks;

(3) 由______出具的裝箱或重量單一式______份；

Packing list/weight memo in ______copies issued by______；

(4) 由______出具的質量證明書一式______份；

11. 數量/品質異議：Quantity/Quality Discrepancy:

如出現數量或品質不符，買方須分別于貨物抵港后 天內提出索賠，品質索賠買

方需提供國際公證機構或其他代表性或代理簽發的檢驗證書。檢驗費及證書費由

買方承擔。In ca of quantity and quality discrepancy, the claim shall be issued by

the Buyer within days respectively after the arrival of the goods at port of

destination. In ca of quality discrepancy the inspection certificate issued by an

international surveyor or its agent (or reprentative) is requested together with the

claim by the buyer. All charges and costs of such inspection and certificate shall be

borne by the Buyer.

12. 檢驗：Inspection：（注：以下兩項任選一項）

（1）賣方須在裝運前______ 日委托 ______ 檢驗機構對本合同之貨物

進行檢驗并出具檢驗證書，貨到目的港后，由買方委托______檢驗機構

進行檢驗。The Seller shall have the goods inspected by ______ days before the

shipment and have the Inspection Certificate issued by______. The Buyer may have

the goods reinspected by ______ after the goods arrival at the destination.

(2) 發貨前，制造廠應對貨物的質量、規格、性能和數量/重量作精密全

面的檢驗，出具檢驗證明書，并說明檢驗的技術數據和結論。貨到目的

港后，買方將申請中國商品檢驗局(以下簡稱商檢局)對貨物的規格和數

量/重量進行檢驗，如發現貨物殘損或規格、數量與合同規定不符，除

保險公司或輪船公司的責任外，買方得在貨物到達目的港后＿＿日內憑

商檢局出具的檢驗證書向賣方索賠或拒收該貨。在保證期內，如貨物由

于設計或制造上的缺陷而發生損壞或品質和性能與合同規定不符時，買

方將委托中國商檢局進行檢驗。The manufacturers shall, before delivery, make

a preci and comprehensive inspection of the goods with regard to its quality,

specifications, performance and quantity/weight, and issue inspection certificates

certifying the technical data and conclusion of the inspection. After arrival of the

goods at the port of destination, the Buyer shall apply to China Commodity Inspection

Bureau (hereinafter referred to as CCIB) for a further inspection as to the

specifications and quantity/weight of the goods. If damages of the goods are found, or

the specifications and/or quantity are not in conformity with the stipulations in this

Contract, except when the responsibilities lies with Insurance Company or Shipping

Company, the Buyer shall, within ______ days after arrival of the goods at the port of

destination, claim against the Seller, or reject the goods according to the inspection

certificate issued by CCIB. In ca of damage of the goods incurred due to the design

or manufacture defects and/or in ca the quality and performance are not in

conformity with the Contract, the Buyer shall, during the guarantee period, request

CCIB to make a survey.

13. 索賠：Claim：

買方憑其委托的檢驗機構出具的檢驗證明書向賣方提出索賠（包括換

貨），由此引起的全部費用應由賣方負擔。若賣方收到上述索賠后______

天未予答復，則認為賣方已接受買方索賠。The buyer shall make a claim

against the Seller (including replacement of the goods) by the further inspection

certificate and all the expens incurred therefrom shall be borne by the Seller. The

claims mentioned above shall be regarded as being accepted if the Seller fail to reply

within ______ days after the Seller received the Buyer's claim.

14. 遲交貨與罰款：Late delivery and Penalty:

除合同第21條不可抗力原因外，如賣方不能按合同規定的時間交貨，

買方應同意在賣方支付罰款的條件下延期交貨。罰款可由議付銀行在議

付貨款時扣除，罰款率按每______ 天收______%，不足______ 天時以

______ 天計算。但罰款不得超過遲交貨物總價的______ %。如賣方延期

交貨超過合同規定______ 天時，買方有權撤銷合同，此時，賣方仍應不

遲延地按上述規定向買方支付罰款。Should the Seller fail to make delivery on

time as stipulated in the Contract, with the exception of Force Majeure caus

specified in Clau 21 of this Contract, the Buyer shall agree to postpone the delivery

on the condition that the Seller agrees to pay a penalty which shall be deducted by the

paying bank from the payment under negotiation. The rate of penalty is charged

at______% for every ______ days, odd days less than _____days should be counted

as ______ days. But the penalty, however, shall not exceed_______% of the total

value of the goods involved in the delayed delivery. In ca the Seller fail to make

delivery ______ days later than the time of shipment stipulated in the Contract, the

Buyer shall have the right to cancel the Contract and the Seller, in spite of the

cancellation, shall nevertheless pay the aforesaid penalty to the Buyer without delay.

買方有權對因此遭受的其它損失向賣方提出索賠。The buyer shall have the right to

lodge a claim against the Seller for the loss sustained if any.

15. 不可抗力：Force Majeure：

凡在制造或裝船運輸過程中，因不可抗力致使賣方不能或推遲交貨時，賣方不負

責任。在發生上述情況時，賣方應立即通知買方，并在______ 天內，給買方特

快專遞一份由當地民間商會簽發的事故證明書。在此情況下，賣方仍有責任采取

一切必要措施加快交貨。如事故延續______ 天以上，買方有權撤銷合同。The

Seller shall not be responsible for the delay of shipment or non-delivery of the goods

due to force majeure, which might occur during the process of manufacturing or in the

cour of loading or transit. The Seller shall advi the Buyer immediately of the

occurrence mentioned above and within______ days thereafter the Seller shall nd a

notice by courier to the Buyer for their acceptance of a certificate of the accident

issued by the local chamber of commerce under who jurisdiction the accident

occurs as evidence thereof. Under such circumstances the Seller, however, is still

under the obligation to take all necessary measures to hasten the delivery of the goods.

In ca the accident lasts for more than ______ days the Buyer shall have the right to

cancel the Contract.

16. 合同終止: Termination of Contract:

在下述情況下賣方可以終止本合同，并且其享有的其他權利和法律救濟不應受到

影響：The Seller may terminate this Contract without prejudice to the Seller`s any

other right or remedies in the event that:

（1）買方未能嚴格根據本合同或者買賣雙方訂立的其他協議中規定的條款支付

其欠付賣方的款項；或者The Buyer fails to pay money owing to the Seller in strict

accordance with the terms t forth hereof or any other agreement entered into

between the Buyer and the Seller; or

（2）買方資不抵債或者被判定破產或者要求買方清算的申請書已經或者將要提

交；或者 The Buyer becomes insolvent or be adjudged bankrupt or where a petition

to wind up the buyer is to be or has been prented; or

（3）如果賣方已經同意在賒銷的條件向買方提供貨物，買方已經超出了賒銷期

限；或Where the Seller has agreed to supply the Buyer with goods on credit and the

Buyer has exceeded that credit limit fixed by the Seller; or

（4）買方拒絕接受根據本合同規定交付的產品。The Buyer refus to accept

products delivered under the terms hereunder.

無論何等原因如果買方終止本合同，無論全部還是部分，終止通知必須以書面方

式發送給賣方。據此賣方應停止工作并且買方應向賣方支付在終止之前所有賣方

已經制造、修改或訂購并且符合合同規定的貨物在本合同項下規定的價款。該等

貨物應交付給買方。If the Buyer shall for any reason terminate this Contract in whole

or in part, the notice of termination must be given in writing to the Seller. The Seller

shall thereupon cea work and the Buyer shall pay the Seller the price provided in

the Contract for all goods which have been manufactured, modified or ordered by the

Seller prior to the termination and which conform to the provisions of the Contract.

Such goods shall be delivered to the Buyer.

17. 爭議的解決：Disputes Resolution：

凡因本合同引起的或與本合同有關的任何爭議，均應提交中國國際經濟貿易仲裁

委員會浙江分會，按照申請仲裁時該會現行有效的仲裁規則進行仲裁。仲裁裁決

是終局的，對雙方均有約束力。 Any dispute arising from or in connection with this

Contract shall be submitted to China International Economic and Trade Arbitration

Commission (CIETAC) Zhejiang Sub-Commission for arbitration which shall be

conducted in accordance with the CIETAC's arbitration rules in effect at the time of

applying for arbitration. The arbitral award is final and binding upon both parties.

18. 通知:Notices:

所有通知用______ 文寫成，并按照如下地址用傳真/電子郵件/快件送達

給各方。如果地址有變更，一方應在變更后______ 日內書面通知另一方。

All notice shall be written in ______ and rved to both parties by fax/courier

according to the following address. If any changes of the address occur, one party

shall inform the other party of the change of address within ______ days after the

change.

19. 貿易術語：INCOTERMS:

本合同使用的FOB、CFR、CIF術語系根據國際商會《2010年國際貿易

術語解釋通則》。The terms FOB、CFR、CIF in the Contract are bad on

INCOTERMS 2010 of the International Chamber of Commerce.

20. 附加條款： Additional clau：

本合同上述條款與本附加條款抵觸時，以本附加條款為準。Conflicts

between Contract clau hereabove and this additional clau, if any, it is subject to

this additional clau.

21. 生效：Effecting:

本合同用中英文兩種文字寫成，兩種文字具有同等效力。本合同共______

份，自雙方代表簽字（蓋章）之日起生效。This Contract is executed in two

counterparts each in Chine and English, each of which shall be deemed equally

authentic. This Contract is in ______ copies, effective since being signed/ aled by

both parties.
