7.1.1法規(guī)條文

1.合營企業(yè)應當按照中華人民共和國有關法律的規(guī)定，繳納各種

稅款。

2.合營企業(yè)的職工應當按照《中華人民共和國個人所得稅法》繳

納個人所得稅。

3.合營企業(yè)進口下列物資，依照中國稅法的有關規(guī)定減稅、免稅：

（1）按照合同規(guī)定作為外國合營者出資的機器設備、零部件和其

他物料（其他物料系指合營企業(yè)建廠（場）以及安裝、加固機器所需材

料，下同）；

（2）合營企業(yè)以投資總額以內(nèi)的資金進口的機器設備、零部件和

其他物料；

（3）經(jīng)審批機構批準，合營企業(yè)以增加資本所進口的國內(nèi)不能保

證生產(chǎn)供應的機器設備、零部件和其他物料；

（4）合營企業(yè)為生產(chǎn)出口產(chǎn)品，從國外進口的原材料、輔料、元

器件、零部件和包裝物料。上述減稅、免稅進口物資，經(jīng)批準在中國國

內(nèi)轉賣或者轉用于在中國國內(nèi)銷售的產(chǎn)品，應當照章納稅或者補稅。

（2）Machineryandequipment，sparepartsandcomponents，

andothergoodsimportedwithfundsoutofthetotalinvestment

ofajointventure；

（3）Machineryandequipment，sparepartsandcomponents

andothergoodsimportedbyajointventurewithadditionalcapital

andupontheapprovalbytheexaminationandapprovalauthority，

theproductionandsupplyofwhichcannotbeguaranteedinChina；

（4）Rawmaterials，auxiliarymaterials，components，

elements，spareparts，andpackingmaterialimportedbyajoint

venturefortheproductionofexportgoods.

Whentheabove-mentionedmaterialsonwhichtaxesarereduced

orexemptedareapprovedforresaleinChinaorusedforproducts

tobesoldinChina，taxesshallbepaidorthebalanceintax

paymentshallbemadeupinaccordancewiththerelevantprovisions

oftheChinesetaxlaw.

4.合營企業(yè)生產(chǎn)的出口產(chǎn)品，除中國限制出口的以外，依照中國

稅法的有關規(guī)定減稅、免稅或者退稅。

5.合營企業(yè)的一切外匯事宜，按照《中華人民共和國外匯管理條

例》和有關管理辦法的規(guī)定辦理。

6.合營企業(yè)憑營業(yè)執(zhí)照，在境內(nèi)銀行開立外匯賬戶和人民幣賬戶，

由開戶銀行監(jiān)督收付。

表和年度利潤表，應當通過合營企業(yè)報送國家外匯管理局或者其分局。

匯貸款和人民幣貸款，也可以按照國家有關規(guī)定從國外或者港澳地區(qū)的

銀行借入外匯資金，并向國家外匯管理局或者其分局辦理登記或者備案

手續(xù)。

10.合營企業(yè)的外籍職工和港澳職工的工資和其他正當收益，依法

納稅后，減去在中國境內(nèi)的花費，其剩余部分可以按照國家有關規(guī)定購

匯匯出。

7.2.1合同條款

1.公司應根據(jù)中國的有關法律法規(guī)和工業(yè)園區(qū)的有關政策（或適

用政策），就其經(jīng)濟活動繳納稅收并享受稅收優(yōu)惠待遇。

4.公司的所有外匯交易，應通過中國銀行或國家外匯管理局授權

（2）本合同各方依法納稅后所得的利潤；

（3）本合同各方轉讓其股權應得的款項；

（4）公司結算清理后，本合同各方應得的款項。

6.在中國法律許可的范圍內(nèi)，合營公司付給一方的一切款項應以

美元支付。如果是以人民幣結算，合營公司應安排通過有關外匯銀行，

按照支付日中國人民銀行公布的美元買入和賣出匯價的中間價將該等人

民幣兌換為美元，向乙方支付美元。但根據(jù)中國法律，將人民幣兌換成

美元和/或將美元匯至所發(fā)生的稅費（包括但不限于匯兌手續(xù)費、預

扣稅等）均由乙方承擔。

7.公司需求的各種保險，應向在中國注冊的保險公司購買。如果

中國注冊的保險公司在險種和保險范圍方面達不到公司的要求，公司可

在中國法律允許的范圍內(nèi)，在中國投保。公司開業(yè)前，應與有關保

險公司辦妥中國雇員的保險，包括人身傷害保險。

Priortocommencingoperations，theCompanyshallcompletethe

formalitiesfortakingoutinsurancepoliciesforitsChinese

employees，includingoverageagainstbodilyinjury，withthe

relevantinsurancecompanies.

8.合營公司應從中國境內(nèi)聲譽良好的保險公司購買能給予合營公

司足夠保障的保險。具體的保險險種、價值和期限經(jīng)與保險公司協(xié)商后

由董事會討論決定。
